Terms of Service

Please Read Carefully: These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and LEAP Business Solutions ("LEAP," "we," "us," or "our"). By accessing our website at
www.leapbusiness.in or engaging our services, you agree to be bound by these Terms.

Acceptance of Terms
By accessing or using the website or services of LEAP Business Solutions, you confirm that:
- You are at least 18 years of age and legally capable of entering into binding contracts under Indian law
- You are authorised to act on behalf of the entity or business you represent
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy
If you do not agree to these Terms, please do not use our website or services.

Description of Services
LEAP Business Solutions provides labour law compliance consultancy services to businesses across India, including but not limited to:
- PF / EPF Compliance: ECR filing, challan generation, UAN management, and annual returns under the Employees' Provident Fund & Miscellaneous Provisions Act, 1952
- ESIC Compliance: Monthly contribution filing, IP registration, claim assistance, and returns under the ESIC Act, 1948
- Professional Tax (PT): State-wise deduction, payment, and return filing
- Labour Welfare Fund (LWF): Contribution management and filing for applicable states
- Payroll Management: End-to-end salary processing, TDS, and statutory deductions
- Labour Law Audit: Compliance gap assessment and statutory audit services
- Free Compliance Audit: A complimentary initial audit offered to prospective clients
The specific scope of services shall be defined in a separate engagement letter or service agreement signed between the parties. These Terms apply to all such engagements.

Client Obligations
To enable LEAP to deliver services effectively, you agree to:
- Provide accurate, complete, and timely information, documents, and data as requested by LEAP
- Inform LEAP promptly of any changes to your business that may affect compliance obligations (e.g., change in employee count, new state of operation, changes in ownership)
- Ensure that all documents and information provided to us are authentic and not forged, falsified, or misleading
- Cooperate with LEAP's team during audits, filings, and reviews
- Make timely payments for services as agreed
- Not use LEAP's services for any unlawful or fraudulent purpose
Important: LEAP's ability to ensure compliance is directly dependent on timely and accurate information from the Client. Delays or inaccuracies in information provided may result in missed deadlines or penalties for which LEAP cannot be held liable.

Fees & Payment
Fees for services shall be as agreed in the applicable service agreement or engagement letter. Unless otherwise specified:
- Fees are payable in advance or as per the payment schedule agreed upon
- All fees are exclusive of applicable Goods & Services Tax (GST), which shall be charged separately as per prevailing rates
- Late payments may attract interest at the rate of 18% per annum on outstanding amounts
- LEAP reserves the right to suspend services in case of non-payment beyond 30 days of the due date
- Fees once paid are non-refundable unless LEAP fails to deliver services as agreed, subject to mutual discussion

Confidentiality
Both parties acknowledge that in the course of service delivery, confidential information may be exchanged. LEAP agrees to:
- Keep all client data, business information, and documents strictly confidential
- Not disclose client information to any third party except as required for service delivery or by law
- Ensure that all team members handling client data are bound by confidentiality obligations
Similarly, the Client agrees not to disclose LEAP's proprietary methodologies, templates, processes, or pricing to third parties without prior written consent.
This confidentiality obligation shall survive the termination of the engagement for a period of 3 years.

Intellectual Property
All content on the LEAP Business Solutions website โ including text, graphics, logos, checklists, templates, guides, and downloadable resources โ is the intellectual property of LEAP Business Solutions and is protected under the Copyright Act, 1957.
- You may not reproduce, distribute, publish, or create derivative works from any of our content without prior written consent
- Compliance checklists and resource materials downloaded from our website are for your internal business use only and may not be resold or redistributed
- Any tools, reports, or work product created by LEAP specifically for a Client engagement shall remain the property of LEAP unless expressly transferred in writing

Limitation of Liability
To the fullest extent permitted by applicable law:
- LEAP's total liability to you arising out of or in connection with these Terms or our services shall not exceed the fees paid by you in the three (3) months immediately preceding the event giving rise to liability
- LEAP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities
- LEAP shall not be liable for any statutory penalties, interest, or damages arising due to the Client's delay in providing information or documents
- LEAP shall not be liable for government system failures, portal downtime, or regulatory changes beyond our control
Note: LEAP provides compliance assistance as a consultant and does not guarantee specific outcomes in matters involving government discretion, litigation, or regulatory enforcement actions.

Indemnification
You agree to indemnify, defend, and hold harmless LEAP Business Solutions, its directors, employees, and consultants from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:
- Your violation of these Terms
- Your provision of inaccurate, incomplete, or fraudulent information
- Your violation of any applicable law or third-party rights
- Any misuse of LEAP's services, resources, or advice

Term & Termination
These Terms remain in effect as long as you use our website or engage our services. Either party may terminate a service engagement by giving 30 days' written notice to the other party, unless a different notice period is specified in the service agreement.
LEAP may immediately suspend or terminate services if:
- You breach any material term of this agreement and fail to remedy it within 7 days of notice
- You engage in fraudulent, unlawful, or abusive conduct
- Fees remain unpaid for more than 30 days beyond the due date
Upon termination, LEAP will hand over all client documents and records in its possession within a reasonable timeframe, subject to clearance of any outstanding dues.

Website Use
Your use of www.leapbusiness.in is subject to the following conditions:
- You may not use the website for any unlawful purpose or in any way that could damage, disable, or impair the site
- You may not attempt to gain unauthorised access to any part of the website or its related systems
- You may not use bots, scrapers, or automated tools to extract data from the website without prior consent
- LEAP reserves the right to restrict or terminate access to the website at its sole discretion
The website is provided on an "as is" and "as available" basis. LEAP does not warrant uninterrupted or error-free operation of the website.

Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or services:
- The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days
- If negotiation fails, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually agreed upon
- The seat and venue of arbitration shall be Mumbai, Maharashtra
- For any matter not subject to arbitration, the parties submit to the exclusive jurisdiction of the courts in Mumbai, Maharashtra

Modifications
LEAP reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our website or services after such changes constitutes your acceptance of the updated Terms.
For existing clients, material changes will be communicated via email with at least 14 days' notice before the changes take effect.
